Res 1092-58 RESOLUTION NO .~1092 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DELRAY BEACH, FLORIDA, CALLING A PUBLIC HEARING OF THE CONFIRMATION OF THE SALE OF THE CITY GOLF COURSE AND CERTAIN OTHER PROPERTY TO THE GRIMES FOUNDATION. WHEREAS, the City Council by its Resolution No. 1065 adopted August 12, 1957, amended by Resolution No. 1069 adopted September 9, 1957, provided for the sale of the municipal golf course and other city owned real estate, subject to certain restrictions, reservations and conditions; and WHEREAS, The Grimes Foundation, a charitable corporation, made the only bid on the property and paid to the City the amount of its bid, the sum of Three Hundred Fifty Thousand Dollars ($350,000.00); and WHEREAS, at the time of closing the purchase irregularities in the advertising were found to exist and the City and the purchaser were unable to agree on some of the detailed provisions of the sale; and WHEREAS, the parties have now come to an agreement on the matters in dispute and the members of the City Council wish to have a public hearing on the final terms of the sale; NOW, THEREFORE, BE IT RESOLVED, BY THE CITY COUNCIL OF THE CITY OF DELRAY BEACH, FLORIDA, in special session assembled the 25th day of February, 1958, as follows: 1. A public hearing is called to be held in the City Hall of Delray Beach at 4:00 o'clock P. M. on March 14, 1958, on the question of the confirmation of the sale of the municipal golf course and certain other city property to The Grimes Foundation ~ on the terms hereinafter set forth. II. The terms and conditions of the sale are as follows: (1) The City.-sells to The Grimes Foundation, a corporation the following described City owned real estate situated in Palm Beach County, Florida, to-wit: TRACT ONE: That part of the Northeast Quarter of the Southwest Quarter lying South of State Road No. 806, less the West 230 feet; and that part of the West Half of the Southwest Quarter of the North- west Quarter of the Southeast Quarter lying South of State Road No. 806, and west of the Drainage Canal E-4, and the Southeast Quarter of Southwest Quarter, less the West 230 feet; and that part of the West Quarter of the Southwest Quarter of the Southeast Quarter lying West of the Drainage Canal E-4; all lying in Section 18, Township 46 South, Range 43 East. And the North Half of the Northeast Quarter of Northwest Quar- ter less the West 230 feet, the South 50 feet, and East 200 feet l~ of West 430 feet of North 150 feet of South 200 feet, and the South half of Northeast Quarter of Northwest Quarter less the West 676 feet; and the Southeast Quarter of Northwest Quarter, less the West 80 feet; and that part of the North half of West ~ Quarter of Northwest Quarter of Northeast Quarter, lying West of Drainage Canal E-4; and Southwest Quarter of Northeast Quarter, less Drainage Canal E-4; all in Section 19, Township 46 South, Range 43 East. LESS PARCELS of laud described in Tract Two (which are also conveyed, but excepted from description of Parcel One). -2- TRACT TWO: That pa~t of the Southeast Quarter of the Northwest Quarter of Section 19, Township 46 South, Range 43 East, described as follows: Commence at the point where the East line of Homewood Boulevard, as shown on Plat No. i of Homewood Subdivision, recorded in Plat Book 15, page 23, Palm Beach County Records, intersects with the East, West m~-line of said Section 19, for the Point of Beginning, thence Easterly along said center-line a distance of 696.40 feet; thence Northerly and ~arallel to the East right-of- way line of Homewood Boulevard, as shown on said Plat No. i of Homewood Subdivision, a distance of 370.00 feet; thence North- easterly at an angle of 125° 01' 48" measured from South to North- east a distance of 241.50 feet, thence Northerly and parallel to said East right-of-way line of Homewood Boulevard a distance of 460.00 feet; thence Westerly at an angle of 97° 00' 00", measured from South to West a distance of 300.00 feet; thence Northerly a distance of 250.00 feet more or less, to the point of Intersection of the South right-of-way line of Golfview Drive as shown on said Plat No. I of Homewood Subdivision; thence Westerly along said South right-of-way line a distance of 596.40 feet, more or less to the East right-of-way line of maid Homewood Boulevard, thence Southerly along said East right-of-way line a distance of 1251.22 feet more or less, to the Point of Beginning. Said tract containing 21.90 acres more or less. AND that part of the South ~ of the Northwest Quarter of the Northeast Quarter of Section 19, Township 46 South, Range 43 East, described as follows: Commence at the Northeast corner of the South half of the North- west Quarter of the Northeast Quarter of Section 19, Township 46 South, Range 43 East, for the Point of Beginning; thence Southerly along the East line of said South half of Northwest Quarter of the Northeast Quarter of Section 19, a distance of 400.0 feet, thence Westerly and parallel to the North line of said South half of Northwest Quarter of Northeast Quarter, Section 19, a distance of 200 feet, thence Northerly and parallel to said East line of South half of Northwest Quarter of Northeast Quarter of Section 19, a distance of 200.0 feet, thence Southwesterly at an angle of 62° 40' 01" measured from South to Southwest a distance of 776.93 feet, more or less, to a point in the East right-of-way line of Lake Worth Drainage District Canal No. E-4; thence Northerly along said East right-of-way line a distance of 550 feet more or less, to a point in the North line of said South half of North- west Quarter of the Northeast Quarter of Section 19, thence Easterly along said North line of said South half of the North- west Quarter of the Northeast Quarter a distance of 890.98 feet, More or less, to the Point of Begging. Said tract containing 7.79 acres more or less. AND that part of the Southwest Quarter of the Northeast Quarter of Section 19, Township 46 South, Range 43 East, described as follows: Commence at the Southeast corner of the Southwest Quarter of the Northeast Quarter of Section 19, Township 46 South, Range 43 East, for the Point of Beginning; thence Westerly along the South line of said Southwest Qua~teP of the Northeast Quarter of Section 19, a distance of 125.0 feet; thence Northerly at an angle of 80° 21' 20", measured from East to North a distance of 152.15 feet; thence Easterly and parallel to said South line of the South west Quarter of the Northeast Quarter a distance of 100.0 feet more or less to a point in the East line of said Southwest Quarter of the Northeast Quarter; thence Southerly along said East line of said Southwest Quarter of the Northeast Quarter a distance of 150.0 feet more or less to the Point of Beginning. Said tract containing 0.39 acres more or less. AND Lots i through 23 inclusive, GOLVIEW ESTATES, Delray Beach, according to the plat thereof on file in the office of the Clerk of the Circuit Court in and for talin Beach County, Florida, -3- recorded in Plat Book 24, page 50. TOGETHER with all improvements located thereon, and the equip- ment, furniture and fixtures now used in the operation and main- tenance of the Golf Course, Club house and other buildings as shown on the inventory on file in the office of the City Clerk of Delray Beach; for the sum of Three Hundred Fifty Thousand Dollars ($350,000.00). (2) The deed of conveyance to ~ Grimes Foundation shall be a fee simple deed and shall contain substantially the following covenants, restrictions and conditions which are accepted by said Foundation and which shall be construed as covenants running with the land and shall bind the said Foundation, it successors and assigns: (a) Tract One is restricted to be used solely for a private golf course and private recreation area for a period of Fifty (50) years from the date of the deed of conveyance. Accordingly, during the period of tis ownership, but not exceeding Fifty (50) years, The Grimes Foundation is to operate and maintain the premises described as Tract No. 1 for the purpose of operation of a private golf course. In the event of transfer of Tract No. 1 by The Grimes Foundation before the expiration of said Fifty (50) years period then the successors and assigns of The Grimes Foundation shall be bound by this provision in the same manner and to the same extente (b) At any time du~ing the 21st yea~ from the date of said deed, the City of Delray Beach, Florida, is given the option and privilege to re-purchase Tract No. 1 at the fair market value thereof. The City shall give notice in writing of the exercise of said privilege, and shall have one year from the date of said notice to consummate closing of the re-purchase. If the interested parties cannot agree on the fair value of the property to be re- purchased, then the fai~ market value shall be determined by a boardk of three appraisers, one to be selected by the owner, one by the City, and the other by the two so selected, and the de- cision of said three appraisers as to the fair market value of said property shall be final. (c) In the event The Grimes Foundation decides to sell Tract No. i at any time prior to the expiration of Fifty (50) years from the date of said deed, the City of Delray Beach, Florida shall have the right of the first refusal to repurchase Tract One on texm~s the same as those of any bona fide acceptable offer to pu~- chase said Tract One from The Grimes Foundation, its successors and assigns. (d) In the event that The Grimes Foundation decides to sell Tract No. 1, it shall give the City of Delray Beach notice in writing of the intended sale, and terms thereof, and the City shall have Thirty (30) days from receipt of such written notice 'to decide whether it desires to exercise its right of first fusal to purchase, and the City shall have a period of One (1) year thereafter to conduct necessary procedure for the operation, financing of the purchase, and closing. In the event that The Grimes Foundation decides to sell Tract ~ No. 1 and it has been notified by the City of Delray Beach of its decision not to repurchase; or after the Thirty (30) day notice ~ given to make a decision upon the right of first refusal has ex- pired, nothing contained in the foregoing provision shall prevent 'The Grimes Foundation from selling Tract No. 1 subject to the re- ~ strictions contained in paragraphs (a), (b) and (c) above. ~ (e) If, prior to the expiration of Fifty (50) years from the ~date of said deed, a sale is made of Tract No. i by The Grimes .~ Foundation to a third party, other than the City of Delray Beach -4- ~lorida, the restrictions contained in paragraphs (a), (b), (c) and (d) above shall be binding upon its successors and assigns. III. General conditions not to be inserted in the Deed of con- veyance, but applicable to the sale are as follows: (f) City Council shall meet one week after the public hearing: called pursuant to theprovisions of Paragraph (1) hereof, and upon consideration of any objections filed at the public hea~ing either confix~m the sale or finally reject the bid of The Grimes Foundation and return the full consideration of Three Hundred Fifty Thousand Dollars ($350,000.00) to The Grimes Foundation forthwith. Upon confirmation The Grimes Foundation shall have reasonable time but not longer than Ten (10) days to receive final word from the Palm Beach Abstract & Title Company that its application for title insurance has been accepted and that title is insurable without exception, except those herein provided for. In the eventl said title company reports that the title is not so insurable the City shall refund the consideration price to The Grimes Foundation forthwith. Otherwise, upon the receipt of notice that the title ~ is so insurable, the Deed, Bill of Sale and full possession of thei premises shall be delivered immediately to The Grimes Foundation. (g) The property will be offered free and clear of liens, claims and encumbrances, subject, however, to rights-of-way, re- strictions and easements of record and such other matters as a visual inspection of the property would disclose. (h) Neither abstract nor title insurance will be provided by the City. (i) The City of Delray Beach is responsible for paid-up, un- expired memberships for use of privileges relating to Tract No. 1 and, provided The Grimes Foundation honors such memberships in accordance with the terms and conditions thereof, theCity will pay The Grimes Foundation the pro rata portion of such memberships. The sale will be subject to all "Life MemberShips" which The Grimes Foundation will honor. Upon assumption of honor of such memberships and the payment by the City of the amounts provided for herein, The Grimes Foundation agrees to indemnify and hold the City of Delray Beach harmless against all claims which might be brought against the City for refund thereof. (j) Closing costs, such as recording and documentary stamps shall be paid by the purchaser. IV. The City Manager shall cause this resolution to be pub- lished in full in the Delray Beach News and the Delray Beach Journal once a week for two consecutive weeks prior to the date of said public hearing.
