Res 1096-58 WHEREAS, heretofore the City of Delray Beach, Florida,
did offer for sale at auction, pursuant to .and in conformity
with the provisions of its Charter, the properties known as
the Fau~icipal Golf Co'cms.; and The Grimes Foundation did m~ke
the highest bid in the sum of $3~0,000.00 for said properties
at said sale offering, which bid has been accepted by the City
of Delray Beach, Florida; and
WHEREAS, pursuant to Resolution No. 1092 of the City
Council of Delray Beach, Florida, a public hearing has been
held to hear objections, if any, to confirmation of said sale
upon the terms therein set forth, and at said hearing held
March 14, 1958 no objections were offered by any person.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL
OF THE CITY OF DEIA~AY BEACH, FLORIDA:
1. That the sale of the Golf Course properties to
The Grimes Foundation, a non-profit charitable corporation,
upon the terms and conditions and for the sales price set forth
in Resolution No. 1092 of the City Council of the City of De]may
Beach, Florida, be and the same is hereby confirmed, ratified
and accepted.
2e That the Mayor and City Clerk, as the authorized
officers of the City of Delray Beach, Florida, be and they are
hereby authorized and directed to execute and deliver to The
Grimes Foundation a fee sirmple deed and bill of sale conveying
such properties upon the terms mud conditions set forth in
Resolution No. 1092 aforesaid.

All pro-rations hereunder are made as of November 10, 1957, after which
date Seller relinquished control of property to Buyer.
The Buyer, in receiving payment (by cash and above credits) of the Un-
earned Membership Dues for I957-I958~ agrees to indemnify and hold Seller
harmless against any and ali claims (and all costs thereby accruing) which
might be brought against Seller for refund thereof. Said Dues have, been pro-
rated upon Buye.r's representation that all memberships will be honored if
such member should desire the same continued for the b~lance of the dues
year; or that if such member should not des~ire the same continued, Buyer
will make pro-rata r~fund. Buyer hereby assumes all liability for obtain-
lng the consent of all Dues-Payers for the balance of the Membership Year.
The minutes of September I0~ 1957 of the City Comaission of Delray
Beach, Flerlda, provides that that portion of the lands to be. coffveyed
not in actual use for recreational purposes as of date of smle shall not
be covered by the reverter or option clause specified by Resolution
1069 of said City Commission. In accordance therewith, at such time as
a proper and accurate, description of the lands not being used for such
put,os,es can be. obtained, the Seller agrees to releas~. of record said
lands from the o'~peration of such reverter and ~Htlon. Also, in accordance
therewith, as additional lands not now included are utilized for such
recreational purl~oses, Buyer agrees: to advise Seller thereof by legal
description and to s~bordinate them to the said provisions of Resolution
No. 1069.
Buyer ~lso agrees, annually, to advise Seller as~ to any lands sold
during the preceding year and the sales price, thereof; and als~ to. advise
Seller of any-im~rovements made and the cost price thereof° It is under-
stood that in furnishing such cost price, it is for information purposes
only, and no~ bind'i~g as to the value in the. event Seller should exercise
