Pursuant to Section 3.12 of the Charter of the City of Delray Beach, Mayor David W. Schmidt
has instructed me to announce a Special Meeting of the City Commission to be held for the
following purposes:
PIPING~ PAVING~ AND PARKING LICENSE AGREEMENT: Consider approval of
an agreement between the City of Delray Beach and Lake Worth Drainage District for the
LWDD L-33 Canal Culvert.

SUBJECT: Piping, Paving, and Parking License Agreement
Please approve the Piping, Paving & Parking License Agreement that is
assignable to the School Board which permits the culverting of the canal. The
agreement provides for a license fee of $15 per linear fee for a total of $10,515.00
and a $472.00 cost for administrative fees.
By copy to Dick Hasko, our office requests that they provide the Performance and
Completion Bond and Engineers Certified Cost Estimate, as well as the checks
required.
The other matter pertaining to the swap of right-of-way will be on the November 5,
2002 a_genda, as it is being advertised per ordinance.

Enclosed herewith please find the Piping, Paving & Parking License Agreement for review and approval
by The City of Delray Beach.
Please be advised that you will need to provide original signed and sealed sketches and legal descriptions
for use as Exhibits "A" and "B" in the agreement. (Copies were provided in the draft enclosed in your
letter of September 12, 2002.) These must be reviewed and approved by District staff and will be
attached to the Piping, Paving & Parking License Agreement prior to recording.
The following items must also be provided with the executed Piping, Paving & Parking License
Agreement:
A Performance and Completion Bond, together with Engineer's Certified Cost Estimate, pursuant
to paragraph #3 of the agreement
One-time license fee in the amount of $10,515.00, together with inspection and administration
fees in the amount of $472.00, pursuant to paragraph ~7 of the agreement
Once the agreement has been finalized, we will advise you of the legal and recording fees due, for
reimbursement to Lake Worth Drainage District.

PIPING, PAVING & PARKING LICENSE AGREEMENT
PROJECT NO. 02-6823P.01
THIS AGREEMENT entered into th~s the day of ,2002, by and
between the LAKE WORTH DRAINAGE DISTRICT, A Special Taxing District in the State of
Florida, whose mailing address is 13081 Military Trail, Delray Beach, Florida 33484,
hereinafter referred to as "DISTRICT" and THE CITY OF DELRAY BEACH, a municipal
corporation, whose mailing address is 100 NW First Avenue, Delray Beach, Florida 33444,
hereinafter referred to as, LANDOWNER"; and
WHEREAS, LANDOWNER is the owner of that certain property located in Palm
Beach County, hereinafter referred to as "PROPERTY", more particularly described in Exhibit
"A" attached hereto and made a part hereof; and
WHEREAS, DISTRICT maintains and controls certain right, title or interest in Lateral
Canal No. 33 (L-33 Canal), abutting and contiguous to the PROPERTY; and
WHEREAS, LANDOWNER has requested that the DISTRICT grant a License for piping
a portion of the DISTRICT'S L-33 Canal, and the installation of paving for parking,
landscaping, lighting and signage, and the maintenance of same, hereinafter referred to as
"LICENSE AREA,", as shown on Exhibit "B", attached hereto and made a part hereof.
NOW, THEREFORE, for Ten Dollars ($10.00) and other good and valuable
considerations, received by each party from the other, it is hereby agreed as follows:
1. The facts above are true and correct.
2. The DISTRICT does hereby grant LANDOWNER this License to allow
LANDOWNER to pipe a portion of DISTRICT'S L-33 Canal for the purpose of paving for

parking, landscaping, lighting and signage, and the maintenance of same, hereinafter referred
to as LICENSE AREA, as shown on Exhibit "B" for as-long as LANDOWNER is in compliance
with the terms of this License Agreement.
3. The DISTRICT'S L-33 Canal within the LICENSE AREA shall be piped by
LANDOWNER within one (1) year from the date of this License Agreement, pursuant to the
plans prepared by Matthews Consulting, Inc., signed and sealed September 4, 2002, for
Atlantic High School, as approved by DISTRICT October 21, 2002; and LANDOWNER shall
provide the DISTRICT with an acceptable contractor's performance and completion bond
equal to 110 percent of LANDOWNER'S certified engineer's estimated construction cost.
4. LANDOWNER shall install landscaping, pursuant to the plans prepared by
Matthews Consulting, Inc., signed and sealed September 4, 2002, for Atlantic High School,
as approved by DISTRICT October

6. LANDOWNER shall provide DISTRICT with signed and sealed plans for any
sign proposed within the LICENSE AREA, prior to the installation, for review and approval by
DISTRICT.
7. LANDOWNER shall pay a one-time license fee equal to $15.00 per lineal foot
of right-of-way being utilized by LANDOWNER, i.e. 701 ft. lineal feet X $15.00 per lineal
foot equals TEN THOUSAND FIVE HUNDRED FIFTEEN AND 00/100 ($10,515.00); together
with inspection and administration fees, pursuant to DISTRICT Operating Policies, Section
1.0, in the amount of FOUR HUNDRED SEVENTY TWO AND 00/100 DOLLARS ($472.00)
shall be nonrefundable once paid. Further, LANDOWNER shall obtain any additional
permits required by the DISTRICT and shall pay all associated permit fees.
8. LANDOWNER agrees to maintain the installed pipe and its headwalls,
landscaping, lighting and signage, and pay all expenses there involved so as to provide at all
times that the condition of the pipe remains suitable to facilitate the free flow of water
through the pipe and further to maintain and keep said improvements in a good, safe usable
condition and also to keep the improvements in compliance with good engineering standards

and to perform all acts of maintenance that the DISTRICT may reasonably require in writing.
In the event LANDOWNER fails to effect such maintenance within thirty (30) days after
written notice from the DISTRICT demanding same, this License shall automatically be
voided and all rights hereunder shall be deemed released, and the DISTRICT shall have the
authority to restore the PROPERTY as an open canal and shall have the right to reclaim
ownership of any pipe salvage, and the expenses thereby reasonably incurred (including
reasonable attorney's fees) shall be the responsibility of LANDOWNER.
9. Without waiver of limitation of liability as provided for in § 768.28 (5) of the
Florida Statutes and to the extent permitted by law, LANDOWNER agrees to indemnify and
hold harmless the DISTRICT from any and all liability costs and expenses the DISTRICT may
or could sustain as a result of or emanating out of the piping and usage of its canal right-of-
way, the same including, but not limited to damage or injury to the actual culvert, paving for
parking, landscaping, lighting and signage, or to the public arising out of the public's use
thereof.
10. To the extent permitted by §768.28(5), Florida Statutes, LANDOWNER shall
hold harmless the DISTRICT for any and all damages that may be caused by the DISTRICT to
the paving, landscaping, lighting and signage, in the proper exercise of its responsibilities and
obligations of maintenance of its drainage system.
11. To the extent permitted by §768.28(5), Florida Statutes, LANDOWNER shall
insure the DISTRICT against any and all liabilities by listing Lake Worth Drainage District as
an Additional Named Insured on its self-insurance program.

13. This License Agreement, unless terminated due to a default of the terms and
conditions as provided herein, shall be perpetual and shall run with the property as an
appurtenance.
14. DISTRICT, by entering into this agreement, agrees to the assignment of this
Agreement to the School District of Palm Beach County so long as the School District of
Palm Beach County agrees to all conditions and terms contained here~n. Further, DISTRICT

shall have the right to approve in writing any successors and assigns of transfer o1: any rights
or conditions contained in this License Agreement, which approval shall not be unreasonably
withheld.
15. LANDOWNER agrees to pay the reasonable attorney's fees incurred by the
DISTRICT in the draftin§, reviewing and enforcement of the terms and conditions of the
subject Agreement.
16. The parties hereby agree from time to time to execute and deliver such further
and other transfers, assignments, and documents and to do all matters and things, which may
be convenient to more effectively and completely carry out the intentions of this License
Agreement.
17. All notices required or allowed by this Agreement shall be delivered in
person or mailed by Certified Mail - Return Receipt Requested, postage prepaid, to the
party upon whom such notice is to be given at the following addresses:
