There had been a tentative closing set on the Lavers' property for Thursday, May 28th between the FDIC and the German development group. Unfortunately, the German. group had not finalized their review of all the documents and the title insurance company had raised some questions about a significant judgment against the FDIC which is subject to appeal. Therefore, the closing did not take place. It appears that the German development group may yet purchase the property. I would anticipate that a closing would take place by June 15th if the deal is to remain a possibility. Dear Jeff: I We have received your letter of May 13, 1992, regarding the above-referenced matter together with the draft license ¡ agreeme~. We understand the facts pertaining to your questions , as è3scribed below. , , Delray Beach wants to induce the promoters of the i ! Virginia Slims Tournament (the "Tournament") to establish Delray as the permanent home for the Tournament in Florida. In connection therewith, the City would have to build a tennis stadium at either of two (2) possible sites. Delray,·.¡ill need to finance the stadium and related center court and four (4 ) practice courts (collectively, the "Facility"), and has inquired of us regarding the ability to do so with tax-exempt bonds. The City would have to enter into an exclusive 20-year license agreement with the owners of the Tournament whereby the owners would have the exclusive right to use the Facility for 30 days out of the year (10 days before the Tournament, the 10-day Tournament, and 10 days after the Tournament). Under the license agreement, the City could not use the Facility for any other professional tennis tournament for three months before and three months after the Tournament without the consent of the owners of the Tournament. The owners of the Tournament wold be entitled to all receipts from the Tournament but would be obligated to pay to the city $50,000 each year during the term of the license agreement. We have assumed such payments would be sufficient to service the I debt either directly or indirectly. ¡ Our Tax Department has reviewed numerous private letter I I rulings regarding the ability to finance a sports stadium with tax-exempt bonds. Their conclusion is that the Facility could not be financed with a tax-exempt bond issued solely for that purpose. The Internal Revenue Service has ruled that a governmentaly owned football stadium built for and used by a professional football team for eight (8) weekends out of the year would be sufficient private business use to prevent the stadium from being financed on a tax-exempt basis. Generally, under the Internal Revenue Code qf 1986, as amendeå (the "Code") a bond is a private activity bond if more than 10 percent of the proceeds are to be used (directly or indirectly) in a trade or business (herein referred to as the "Private-susiness Use Test") and if more than 10 percent of the I payment of principal of or interest on such issue is to be directly or indirectly derived from payment in respect of property or borrowed money used or to be used for a private business use (herein referred to as the "Private Security Test"). I Emphasis supplied. Only certain special type private activity ¡ bonds may be issued on a tax-exempt basis. Examples would be private activity bonds issued to finance airports, multtfamily housing, single family housing and solid waste disposals. Sports stadiums are not included in the list of permitted private activity bonds under the Code. Under the facts presented, the Private Security Test is satisfied because the annual ·license fee (even though such fee would not be pledged to the payment of the proposed bonds would exceed 10 percent of the debt service. The Private Business Use Test is also satisfied because, analogizing to similar facts presented in the private letter rulings our tax department reviewed, the 30 day period the Facility would be used by the Tournament together with the other restrictions effectively amounts to more than 10 percent private .. " . - - J effl~ey S. Kurtz, Esq. -3- May 29, 1992 business use. We would not be able to give our bond counsel opinion without seeking a private letter ruling on this point. Brant Freer, the tax partner who reviewed this matter, indicated that in light of prior rulings, like the football team us ing the stadium for only eight (8) weekends, a favorable ruling is very unlikely. There is also another concept under the Code which in effect substitutes 5 percent for the 10 percent threshold in the Private Business Use Test and Private Security Test, when the private business use is unrelated to the other government uses also being financed. I mention this because the City provided for the ability to use a portion of the proceeds, among other things, of its $14,800,000 Utilities Tax Revenue Refunding and Improvement Bonds, Series 1992 (the "Bonds") for the financing of the acquisition and/or renovation of City-owned tennis facilities. Since the Facility is unrelated to the refunding aspec t of the Bonds or the other capital projects financed with the proceeds of the Bonds, only 5 percent of the net proceeds of the Bonds could be used to finance the Facility. Net proceeds means the par amount of the Bonds less all of the costs of issuing~e Bonds. This principal would be equally applicable if the City issued new tax-exempt bonds to finance various capital projects and the Facility, with the expectation that less than 10 percent of the proceeds would be used to finance the Facility and thereby fail the Private Business Use Test. Since the Facility would more likely than not be unrelated to the other governmental uses contemplated in the bond issue, the threshold would change from 10 percent to 5 percent. You have also indicated that you may have some flexibility regarding the terms of the license agreement if it would result in the ability to issue tax-exempt bonds. Absent, removing the restrictions regarding the use of the Facility for other tennis tournaments and shortening the term of the agreement to one (1) year (all of which we have assumed is not possible) , our conclusions stated above would not change. Thomas Lynch, Mayor City commissioners Delray Beach, FL Re: Virginia Slims contract with the city of Delray Beach Gentlemen: It has come to my attention through press reports that you are giving consideration to entering into a contract to host the Virginia Slims tournament each year. The Alcohol, Drug Abuse and Mental Health Planning Council for HRS District 9A (Palm Beach county) has no desire to be involved in the politics of this decision, however, as Chair of the council, I felt it necessary to give you another perspective on this issue. We all know that tobacco is a "gateway drug." Recent studies have shown that 75% of the teenagers who smoke marijuana started by smoking tobacco. From marijuana, of course, many go on to crack cocaine, heroin and designer drugs. We all know, also, that 70-80% of those detained in our county jails are there for drug related crime and that the state prisons stand built and unused because budget shortfalls prevent hiring corrections officers to staff them. Some of us in this community, including the Drug Abuse Foundation and South County Mental Health Center, are charged wi th the responsibility for treating both adults and young people who have gotten trapped in substance abuse. This we do, in part, with state and county tax dollars, as well as local contributions. Currently, the county and the state have no new money budgeted to support expanded programs for drug treatment. On the contrary, we have sustained serious cuts in funding for both adult and children's substance abuse programs for this year and for the foreseeable future. Reduced funding to these programs means a net loss of 64 substance abuse treatment beds and a loss of 9 beds for pregnant and post partum substance abusing mothers. In addition, we are unable to continue services to over 3,000 clients county wide. The Board found that several of the proposed projects in the preliminary CIP are inconsistent with the Plan and cannot be included in the Five Year Schedule of Improvements without a Plan Amendment. These memos specified that an Amendment to the Comprehensive Plan would be required for the projects to be included in the Five Year Schedule of Improvements and detailed the process for inclusion in an amendment. Information required for inclusion of a project in a Plan Amendment includes: 1- Identification of supporting material that already exists in the Comprehensive Plan. If such material does not exist, the need will have to be established through a text amendment. 2. Identification of policies within specific Elements which supports the request. 3. Cost estimates and their basis. 4. Identification of the funding (financing) source and the availabili ty of funds within it. Verification of funding and/or identification of previously approved projects which will be delayed to allow the proposed project to go forward. S. Consideration of the Storm Water Utility Fund as the appropriate funding source for this program and approval of criteria for implementation. BACKGROUND: The Neighborhood Task Team (NTT) has been addressing parking problems and issues that are contributing to blighted appearances throughout many of the residential neighborhoods within the City. NTT has determined that there are two (2) common occurrences in many areas that need to be addressed. Both are related to the condition of existing swales and the use of these swales as permanent parking spaces. Current codes require adjacent property owners to maintain improved swale areas but does not require single family units constructed prior to October 1990 to improve them. All new SF units permitted after 10/01/90, multifamily developments and commercial properties are regulated under the existing landscape code, which requires the swale to be improved and sodded. Because we would have an approved landscape plan of record, properties that are not properly maintained receive violation notices under the landscape code. The Task Team wrestled with the legality of whether or not it would be proper to require private owners to upgrade what is really public property. The majority of residential neighborhoods east of I-95 are affected. The Task Team is proposing several new codes and amendments to existing codes to provide effective code enforcement opportunities and mitigation of many of the existing conditions. The upgrading and improvement of swale areas is considered to be a vital component to aesthetically improving our residential neighborhoods. The NTT is, therefore, recommending the following: vlSÞ. .. - . ~ Page 2 Comprehensive Swale Improvement Program City Commission Workshop Meeting of 6/2/92 RECOMMENDATION: The Neighborhood Task Team is recommending that the City Commission direct appropriate staff to develop a "Comprehensive Swale Improvement Program" for all existing residential neighborhoods throughout the City of Delray Beach. The plan should provide for improvements to swales consistent with EPA requirements for proper drainage and storm water run off, provide for a "free safety area" as defined by the Department of Transportation, and be improved with appropriate landscape materials consistent with code requirements. Irrigation to such areas should be made at the adjacent property owners expense. Priority of implementation should be based on residential roads most visible and heavily traveled, roads within subdivisions that have organized homeowners associations who may elect to contribute to the project cost and coordination and finally, to other areas on an as needed basis. The Task Team is also recommending that the Storm Water Utility Revenue Fund account be the appropriate funding source for this project. Consideration should be given to increasing the current fees assessed to provide additional revenue to accommodate the improvements over the next three (3) years. STAFF RECOMMENDATION: Staff has determined that the proposed recommendation is not in conflict with existing policies adopted within the Comprehensive Plan and can be supported specifically within goals and objectives under the Housing Element Goal Area "A" which provides for programs directed at preservation and maintenance of stable neighborhoods and stabilization and revitalization of declining neighborhoods. Policy A-2.2 provides that such areas shall have some priority in scheduling of capital improvements (infrastructure) which will assist in arresting visible signs of deterioration. Based on the current competitive bid market we anticipate that the low bid will be substantially lower than the amount budgeted. This will result in an initial savings to the city. The bid of the Contractor who is low will probably represent a dollar amount close to his cost with perhaps a very marginal profit markup. The Contractor may attempt to reduce the quality of construction or to submit artificial claims for change orders to supplement his profit markup. He will probably have an on-site Project Manager to coordinate this in addition to his on-site Field Superintendent. We feel that an on-site Resident project Representative (RPR) is necessary to assure that quality of construction is maintained and to dispute potential "bogus" claims by the Contractor. It is important that this RPR be the Architect's representative to maintain direct lines of communications and accountability. If the City decides to hire an RPR independent from the Architect these direct lines are severed. The city could find itself in the middle of all issues of accountability. Even if the issues are resolved amicably, unnecessary time will be spent by the City staff and the Architect that could have been devoted to more productive items on the Project. Recent history with the construction of Fire station #2 has shown that scheduling and quality control have a direct relationship to involvement of the RPR. A Project of this magnitude needs a qualified RPR on a daily basis to monitor and control the Project. Fire station #2 fell behind schedule early in the Project. We feel that this forced the Contractor to accelerate the Contract items constructed at the end of the Project in order 1 of 2 .. · -' to fulfill his Contract completion date. This could possibly explain the quality of the floor tile installation, leaky windows, leaking roof, etc. Attention and monitoring the progress of the project from the start would help to minimize the number of these problems throughout the job. The question has been raised about the possibili ty that the Building Department, because of bad economic times, could assign someone to the Project to handle all the duties of the RPR. We feel that the Building Inspector and the RPR provide two separate functions. The Building Department's function is to inspect the work to insure technical compliance with the code and permitted plans. The RPR's responsibility is not only to insure that it is built to code but also to the Architect's and Owner's standards and meets the construction schedule. The City wants a completed facility that is built on schedule, under budget and of quality construction. A full time RPR working for the Architect is our recommendation to help achieve this goal. Another question raised by the city Manager on May 18, 1992 from William Andrews was as follows: Does the contract documents require prequalifications of contractors? A review of the , original contract documents indicates prequalification was not .~_ ~equired. This was based upon prior legal advice that a , contractor who has a contractor's license and can obtain the -necessary bonding and insurance is a qualified contractor. Any type of prequalification requirements may create a bid protest. Mr. Robert A. June 2, 1992 Dear , The Education Board of the City of Delray Beach was formally established by resolution of the City Commission in July, 1990. The purpose of the board is to advise City Commission on education issues affecting schools in the City, to promote and support our schools in order to reverse negative perceptions, and to provide input and recommendations to the County School Board in areas ,affecting programming, racial balance, and physical plant improvements. The City of Delray Beach's Education Board is very concerned with the status of the State budget and the negative impact legislative actions will have on the quality of education in our community. We respectfully submit our concerns as follows: Education in Florida is facing a crisis which puts the State's most valuable resource--our children--in harm's way. An obvious lack of fiscal priority for education by our elected officials can be viewed as an inability to heed the voice of the people to establjsh education as the State's top priority. It could also be construed as a form of child abuse. The Palm Beach County School Board is desperately trying to balance its budget. In order to do so, the Board will have to increase the ~verage class size from 34 to 38 students, layoff full-time ta~ulty and valued programs to the community, and divert money from its building fund to capital expenditures. A high standard of instruction is severely compromised when classrooms become so overcrowded that individual instruction is nonexistent and the stress to provide a learning environment leads to teacher burn-out. Magnet programs, such as the International Baccalaureate at Atlantic, the Gifted program at Banyan Creek, and the Montessori program åt Spady Elementary are at risk. Atlantic High School alone would lose nearly 20 full-time faculty members. .. '"I " , Here in Delray, we have many exceptional teachers and administrators. We have several new facilities and more coming on line soon. We have young people in school right now who will determine our future. What we do not have is the funding to ensure our children's success and the future success of public education. The investment we make in education is incalculable. The expense for police protection is reduced. Unemployment and welfare drop while the quality of life improves as the standard of living rises in many neighborhoods where more and more people become gainfully employed. Companies who wish to move to South Florida look much more favorably on re-Iocation if they know employees are more likely to be satisfied with the public schools. The community grows; the tax base is increased, and living expenses are held at reasonable levels. People who receive a strong public education are much more likely to seek additional education and are more able to compete in today's world market. Our community, its health and vitality, are ultimately determined by the level of education of its citizens. We must be committed to a sound educational system and we must be willing to pay for it. There are several ways to accomplish our goals: 1. Arlocate an adequate and consistent amount of the State budget that must be spent on public education. (That percentage has steadily dropped over the last three years from about 40% to approximately 34%.) 2. Change the State Constitution which mandates county- wide school boards and return control of schools to the local school boards, thereby increasing local community involvement. 3. Although a state income tax could be an answer to more funding, the misuse and wasteful spending of our tax dollars must be seriously addressed before taxpayers will see the credibility of additional money in the hands of elected officials. In conclusion, we strongly urge you to take a closer look -- visit our schools -- and review the many positive, innovative and successful learning situations which are providing quality education in Palm Beach County; programs which have gained State and national recognition. .. The governor may veto any specific appropriation in a general appropriation bill or in an appropriation bill limited to education, but may nOlveto any qualification or restriction without also vetoing the appropriation to which it relates. (b) When a bill or any specific appropriation of a general appropriation bill or an appropriation bill limited to education has been vewed by the governor. he shall transmit his signed objections thereto to the house in which the bill originated if in session. If that house is not in session, he shall file them with the secretary of state, who shall lay them before that house at its next regular or special session. and they shall be entered on its journal. (c) If each house shall, by a two-thirds vote. reenact the bill or reinstate the vetoed specific appropriation of a general appropriation bill or appropriation bill limited to education, the vote of each member voting shall be entered on the respective journals, and the bill shall become law or the specific appropriation reinstated, the vew notwithstanding. They can no longer hide behind a general funding bill given to them by the Appropriations Committees.
