Pursuant to Section 3.07 of the City Charter of the City of Delray
Beach, Florida, Mayor Doak S. Campbell has instructed me to advise you
of a Special Meeting of the Commission to be held in the Commission
Chambers at 7:00 P.M., Thursday, September 22, 1988.
This meeting has been called for the purpose of considering:
(1) Proposal from Procacci Development Corporation _
Auburn Trace.
(2) Bid Award - Beautification Project Linton Boule-
vard - Landscaping and Irrigation from Military
Trail to Congress Avenue.
(3) Approval of Agreement for temporary use of the
Mall Common Area at Town Center Mall, Boca Raton,
for October 3, 1988, Job Fair.

I have attached two staff memos regarding the Auburn Trace proposal
submitted by Procaccio Community Improvement staff finds that the
proposed housing complex, while smaller than originally contemplated,
is consistent with the City's need to provide a housing _a$s~stance
plan. Additionally, it addresses Commission's concern over dens~ty.
The Finance Department on the other hand has reviewed the prb forma
submitted by Procacci and finds it to be less acceptable tpan our
~riginal agreement. The repayment of the City's match toward tpe UDAG
~s based on a formula involving the developer's cash flow!~ As a
result, no specific expectation can be budgeted, a factor which becomes
especially critical should the issue of a small bond or antic~pation
note be required to fund our local share. I,

favorable consideration of the Auburn Trace Development as propo~ed.
In order to protect the City's UDAG Grant
additional units of needed housing Auburn

The September 8, 1988 Auburn Trace proposal outlined both a 260-unit
project and a 336-unit project. In reviewing the financial terms of the
agreement as scheduled on page 7 of the proposal, it should be noted that
in "Repayments to City", the total repayment should read $1,252,400.
This proposal provides that the payback to the City for the cost of the
land would be in the form of a purchase money mortgage paid back over the
first nine years of the project with no interest. Second, the payback for
the Urban Development Action Grant (UDAG) under both the 260-unit and the
336-unit projects would have interest excused over the first five years of
the project. Third, Mr. Procacci has requested that we accept a 75% share
of cash flow for the payback methodology on the City's ,grant match. The
concern with this payback methodology would be that there would be no
formal guaranteed payback to the City which we could use in our budget
process. This becomes especially significant should the City elect to
issue a small bond or anticipation note with debt and equity to be paid
from the developer's repayment.

The actual payback to the City would be dependent upon the actual revenu4s
and expenditures the project incurred. As can been seen in the schedu1e

for the 336-unit project, even after Year 10, the City would only recei'l,e
$351,104.00 of their contribution of $1,004,640. It would be desirabte
that the financial statements of Procacci be audited by an external

independent auditor to verify the annual cash flows; but even then the Ci~Y.
would have no control over the expenditures the project incurred and i,
correspondingly, could reduce the City's payback for one year or all year "

I have reviewed the Auburn Trace Proposal as submitted by
the joint venture efforts of procacci Development Corporation and the
Palm Beach County Housing Partnership on Friday,' September 09, 1988.
At the regular City Commission Meeting of August 30, 1988, the Mayor
directed the Joint Venture to submit to the City Manager and his staff
for review and consideration by the Commission prior to final approval
of the proposed development the following:

Provide a written response to the possibility of project
construction without the use of a UDAG grant and provide
written assurance to the City Commission as to the
developer's ability to build the project and the anticipated
construction commencement date.
The developer's submission addressed most of the
Commission's concerns as stated above. The Commission is being asked
to consider which proposal addresses the concerns of the Commission as
it relates to density and amenities. The choice is to approve the 260
unit proposal with limited amenities or 336 units with a full
amenities package. The developer's preference is the 336 units.
Staff submitted the same proposal to the Director Qf.
Finance, Planning & Zoning, City Engineer and City Attorney's office
who will also provide written comments as it relates to their area of
expertise. Information most important to the Commission's decision is
the actual fiscal impact to the City under both proposals. The
Commission should be conscious of the fact that under both proposals
the financial commitment is substantially different that the original
UDAG application and previous agreements.
Rezoning of the proposed site is still necessary to
accommodate either project. Thus a binding agreement cannot be
reached until the rezoning is in place. However, contr,actual
agreements can be entered. The configuration of the road sys~em and
off-sites are to be analyzed in a traffic impact analysis whicn is to
be provided with the formal site plan submission. The developer has
not indicated when his formal site plan will be submitted, which will
affect his actual construction start date. .
procacci Development Corporation will not proceed with the
proposed development without the use of the UDAG Grant. The developer
feels that the project would not be fin'anc'ially feasible without the
grant form the federal government and the funds pledged by th~ City.
The public/private partnership is essential to the economic
viability of the proposed development.
The joint venture partnership between the developer and the
Housing Partnership and the City of Delray Beach will be responsible
for negotiating the amendments to the current grant agreement with the
Department of Housing & Urban Development. Staff anticipates that it
will take approximately 60 days for HUD's review and approval. HUD
holds the right to have the final decision on the fin4ncial
feasibility of the Auburn Trace Development with the proposed changes.
Trips to the Washington DC and Jacksonville area offices may be
required by staff.

Invitations to Bid were mailed to twenty-seven (27) area
contractors on August 22, 1988. A Legal advertisement was
placed in the Palm Beach Post on August 24, 1988.

Five (5) landscaping contractors submitted bids for the
September 15, 1988 bid opening. A Tabulation of Bids is
attached for your review.
The low bid was submitted by Tuttles Nursery & Landscaping,
at a total cost of $175,688. The Engineer's estimate for
this work is $181,000. The low bid is 3% under the
Engineer's estimate.
Following staff analysis and review, it is recommended that
the contract for the landscaping portion be awarded to the
low bidder, Tuttles Nursery & Landscaping, at a cost of
$175,688.
Irri~ation- Bid #88-104
Invitations to bid were mailed to nineteen (19) area
contractors on August 22, 1988. A Legal advertisement was
placed in the Palm Beach Post on August 24, 1988.
The low bid was submitted by Sinclair Landscape Nursery,
Inc., at a cost of $60,843. This bid is unresponsive for the
following reasons:
1. The Irrigation bid was submitt~d ~long with their
Landscape bid, and they have stated that some of
their irrigation pricing is included into the
landscaping costs.

2, They plan to subcontract the irrigation work to
another firm. Per the Palm Beach County Construction
& Industry Licensing Board, it is not permissable
for a non-licensed firm to act as a general
contractor and sub-out work which requires a
certificate of competency as specified in the
standards of certified catagories.
For the above reasons, it is recommended that the low bid
submitted by Sinclair Landscape Nursery, Inc.. be rejected
for being un-responsive.

The second low bid for irrigation was submitted by Mc Coy
Irrigation, Inc. at a cost of $65,346. This bid meets City
requirements. The Engineer's estimate for this work is
$76,000. The second low bid is 14% under the Engineer's
estimate.
Following staff analysis and review, it is recommended that
the contract for the irrigation portion be awarded to the
second low bidder, Mc Coy Irrigation Inc., at a cost of
$65,346.
Per the Budget Office, funding for both the Landscaping and
Irrigation portions of this project is available from
account #333-4141-572-61.15 (Utility Tax Construction I
Fund-Median Improvements).

Bids were opened September 15, 1988 for the landscaping and irrigation for
the Linton Boulevard, for the section between the CSX Railroad and Military
Trail.
. .
The landscaping and irrigation were advertised as two separate bids. The
landscaping was estimated by our consultants, H. Kurt Kettelhut b Associates
to be $181 thousand. Five bids were received for the landscaping, bid # 88-
105. The apparent low bidder is Tuttle's Nursery, Landscaping and Lawn Care
Service, Inc. in the amount of $175,688.00.
In checking the references for Tuttle's, all comments regarding landscape
installation work were positive. Employers indicated that Tuttle's did' the
work required on time, had adequate manpower for the job, used high quality
plant material, stood behind their guarantees, and responded to emergencies.
The irrigation was estimated by our consultants to be $76 thousand. Of the
nine bids received, the lowest bid was from Sinclair Nursery b Landscape .for
$60,843.00, but was declared an unresponsive bid as the company does ,not
hold a certificate of competency as a licensed irrigation contractor.
Sinclair had intended to subcontract the irrigation, but legally, they
cannot do that or they would be acting in the capacity of an unlicersed
general contractor.
The second lowest bid (the lowest elligible bid) was from Mc Coy
Irrigation, in the amount of $65,346.00. Mc Coy irrigation is a reputable
firm and holds a certificate of competency as an irrigation contractor.
I am recommending that the contract for landscaping, bid # 88-105 be awarded
to Tuttle's Nursery and Landscaping in the amount of $175,688.00, and that
the contract for irrigation, bid # 88-104 be awarded to Mc Coy Irrigation in
the amount of $65,346.00.

concerning the hold harmless language, this paragraph and the
remainder of the agreement now meet with our approval as to
legal sufficiency and form.

That is not to say that there are not still some policy ma~ters
which need to be considered by the City Administration i~
agreeing to this contract. Once it has been reviewed by the
City Administration, this contract should be placed on an
upcoming City Commission meeting for their approval and author.-
ization to execute same.

The privilege granted by this agreement is exclusive to the Grantee
and may not be assigned.
To the extent permitted by the law, and to the limits set forth in
Florida Statutes Section 768.28, grantee agrees to indemnify and hold
harmless Town Center Investment Associates, Town Center at Boca Raton,
Center Partners, Ltd., d/b/a JBM/Centers, against any and all claims,
actions, demands, costs and expenses for negligence on account of any
real or claimed damage or liability, and from and against all liens,
claims and demands occuring in or rising out of the use or enjoyment.

permises. Furthermore, Grantee, its agents, servants, employees, or
contractors shall not display or exhibit, in the sole jUdgment of
Grantor, any lewd, obscene, or otherwise improper merchandipe or
material, nor shall they engage in any lewd, obscene, or improper
behavior while upon Grantor's Premises. I
Grantee shall, at its sole cost and expense, keep the Designated
Location space clean and orderly at all times, and shall repair the
surface of said space and all lighting standards, pipes, ~ire,
conduits and installation to the extent that the same shall have: been
damaged or impaired by Grantee's use.
Grantee shall be responsible for maintaining security for its property
during the term of this License.
Grantor reserves the absolute right, without prior notice, to relocate
